LOAN AGREEMENT

AGREEMENT dated 12 December 2012 between the REPUBLIC OF KAZAKHSTAN (the «Borrower») and EUROPEAN BANK FOR RECONSTRUCTION AND DEVELOPMENT (the «Bank»).

PREAMBLE

WHEREAS, the Bank has been established to provide financing for specific projects to foster the transition towards open market-oriented economies and to promote private and entrepreneurial initiative in the Central and Eastern European countries committed to and applying the principles of multiparty democracy, pluralism and market economics;

WHEREAS, the Borrower intends to implement the project as described in Schedule 1 which is designed to assist the Borrower to reconstruct a section of the road which has the length of 62 km between the international border crossing point «Zhibek Zholy» on the border with the Republic of Uzbekistan and a point on the road at the 742^nd kilometer of the Shymkent - Tashkent road (the «Project»);

WHEREAS, the Borrower has requested assistance from the Bank in financing part of the Project;

WHEREAS, the Bank has agreed to make available technical cooperation funds on a grant basis to assist the Borrower in implementing of Environmental and Social Impact Assessment;
